Domain Purchase Terms of Service

These Domain Purchase Terms of Service (“Agreement”) govern the purchase of domain names offered for sale through StudiosWest.com or related sales pages operated by Michael Turnbull, doing business as StudiosWest (a division of MichaelTdesigns) (“Seller”).
By purchasing a domain name, making a payment toward a domain name, or selecting “I Agree to the Terms of Service” during checkout, the buyer (“Buyer”) agrees to be bound by this Agreement.
1. Domain Name Sale
Seller offers certain domain names for sale through StudiosWest.com and related landing pages.
Each purchase applies only to the specific domain name identified at the time of checkout.
All listings, pricing, and availability are subject to change at any time prior to payment confirmation.
Seller reserves the right to refuse or cancel any transaction prior to completion of payment.
2. Payment Options
Domains may be purchased using one of the following methods:
Full Purchase
Buyer pays the full purchase price at checkout.
Installment Purchase
Buyer agrees to purchase the domain through scheduled recurring payments.
The specific purchase price, payment amount, and payment duration are displayed at checkout and become part of this Agreement.
Payments may be processed through third-party services including:
- Stripe
- Escrow.com
- other payment providers
Use of these services may be subject to their own terms.
3. Ownership of the Domain
Seller retains full legal ownership and registrar control of the domain name until the purchase price has been paid in full.
During an installment payment period Buyer may not:
- transfer the domain
- sell the domain
- pledge the domain as collateral
- assign rights to the domain
- attempt to move the domain to another registrar
The domain remains the sole property of Seller until the final payment has been received.
4. Domain Use During Installments
Seller may, at Seller’s discretion, grant Buyer limited use of the domain during the installment period.
Such use does not transfer ownership or legal rights to the Buyer.
Buyer agrees not to use the domain for any unlawful, fraudulent, abusive, defamatory, or otherwise harmful activities, including but not limited to:
- illegal goods or services
- phishing, malware, or deceptive practices
- spam or bulk unsolicited messaging
- activities that violate applicable laws or regulations
- activities likely to damage the reputation or resale value of the domain
Seller may immediately suspend DNS resolution, website hosting access, or any granted use of the domain if Seller reasonably believes the domain is being used in violation of these terms.
Repeated or serious violations may result in termination of the Agreement in accordance with Section 6.
5. Payment Obligations
Buyer agrees to complete all required payments according to the payment schedule selected at checkout.
Buyer is responsible for ensuring that payment methods remain valid and that payments are successfully processed.
Late Payments
Payments not received within 5 calendar days of the scheduled payment date are considered late.
Seller may:
- charge a reasonable late fee if permitted by law
- suspend DNS resolution or Buyer access to the domain
- temporarily disable any use of the domain granted under this Agreement
Continued Non-Payment
If payment remains unpaid for 15 calendar days after the due date, Seller may treat the account as in default under Section 6.
Failure to maintain valid payment authorization does not relieve Buyer of payment obligations under this Agreement.
6. Default
If Buyer fails to make a required payment or otherwise breaches this Agreement, Seller may terminate the purchase agreement.
Upon termination:
- Buyer forfeits all rights to the domain name
- the domain remains the property of Seller
- all prior payments are non-refundable
Seller retains the right to resell the domain.
7. Refund Policy
All domain purchases and installment payments are final and non-refundable.
Payments made prior to completion of the purchase price represent compensation for reserving the domain name and removing it from the open market during the payment period.
8. Domain Transfer
Upon receipt of the final payment, Seller will initiate the domain transfer process within a reasonable time.
Buyer must provide a valid registrar account capable of receiving the transfer.
Seller is not responsible for delays caused by:
- registrar transfer procedures
- buyer account issues
- ICANN transfer rules
- domain transfer lock periods
9. No Guarantees of Use
Seller makes no representations or warranties regarding:
- Buyer’s intended use of the domain
- search engine performance
- traffic value
- trademark availability
- commercial viability
Buyer is solely responsible for determining whether the domain meets their intended needs.
10. Third-Party Services
Transactions may involve third-party services such as payment processors, escrow services, or domain registrars.
Seller is not responsible for service interruptions, delays, or policies imposed by such third-party providers.
11. Limitation of Liability
To the maximum extent permitted by law, Seller shall not be liable for:
- lost profits
- business interruption
- lost business opportunity
- loss of data
- email interruption or DNS-related disruptions
- indirect, incidental, special, or consequential damages
arising from the purchase, attempted use, transfer, hosting, DNS configuration, or operation of a domain name.
Seller provides the domain name “as is” without warranties of any kind, express or implied.
Buyer acknowledges that operation of websites, email systems, DNS services, or other internet infrastructure associated with the domain is the sole responsibility of Buyer once the domain is placed into Buyer’s use.
To the maximum extent permitted by law, Seller’s total cumulative liability under this Agreement shall not exceed the lesser of:
- the total amount actually paid by Buyer under this Agreement, or
- $500 USD.
12. Payment Disputes and Chargebacks
Buyer agrees not to initiate payment disputes, chargebacks, or reversals with payment providers for any payments made under this Agreement.
If Buyer initiates a chargeback or payment dispute:
- Seller may immediately terminate this Agreement
- Buyer forfeits any rights to the domain name
- the domain remains the property of Seller
- all prior payments made by Buyer remain non-refundable
Buyer agrees to contact Seller directly to resolve any payment concerns before initiating a dispute with a payment processor or financial institution.
Seller reserves the right to provide this Agreement and transaction records to payment processors or financial institutions in response to any payment dispute.
13. Domain Transaction Acknowledgement
Buyer acknowledges that domain name purchases involve the transfer of a unique digital asset.
Buyer further acknowledges that:
- the domain is being removed from the open market during the purchase period
- Seller may lose other potential buyers during this time
- installment payments represent consideration for reserving the domain and maintaining availability for Buyer
For these reasons, Buyer understands and agrees that all payments are final and non-refundable, including payments made prior to completion of the purchase price.
14. Trademark and Legal Use Responsibility
Buyer is solely responsible for determining whether their intended use of the domain name infringes upon any existing trademark, service mark, or other legal rights.
Seller makes no representations regarding trademark availability, intellectual property rights, or regulatory compliance associated with the domain name.
Buyer agrees that any legal claims arising from Buyer’s use of the domain—including trademark disputes, regulatory violations, or third-party claims—are the sole responsibility of Buyer.
Buyer further agrees to indemnify and hold Seller harmless from any claims, damages, or legal costs arising from Buyer’s use of the domain name.
15. Governing Law
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Idaho, United States, without regard to conflict of law principles.
16. Entire Agreement
This Agreement constitutes the entire agreement between Buyer and Seller regarding the purchase of a domain name and supersedes any prior discussions or communications.
17. Acceptance of Terms
By completing a purchase or selecting the “Agree to Terms of Service” checkbox during checkout, Buyer acknowledges that they have read, understood, and agreed to these Terms.
